Permitted Uses:

• You may temporarily store copies of materials in your device’s RAM as part of accessing and viewing them.
• You may store files automatically cached by your browser for display purposes.
• You may print or download a reasonable number of pages for personal, non-commercial use, provided you do not reproduce, publish, or distribute them further.
• If we provide downloadable desktop or mobile applications, you may download a single copy for personal, non-commercial use, subject to our end user license agreement.
• If social media features are available, you may engage with content as enabled by those features. 

Prohibited Uses:

• Modifying copies of any materials from the Services.
• Separating illustrations, photographs, videos, or graphics from accompanying text.
• Removing or altering copyright, trademark, or other proprietary notices from any materials.

If you breach these terms by printing, copying, modifying, downloading, or sharing any part of the Services without authorization, your right to use the Services will terminate immediately. At our discretion, you must return or destroy any copies of the materials. No ownership or rights in the Services or content are transferred to you; all rights remain with us. Unauthorized use of the Services is a violation of these Terms and applicable laws. 
Customer Designs: If you provide us with any image, logo, design, description, or other material ("Customer Design") for purposes such as customizing a product, you represent and warrant that:

• You have the rights or a license to use the Customer Design.
• You have obtained consent from all individuals or entities with rights to the Customer Design.

By submitting a Customer Design, you:

• Agree to indemnify us, our affiliates, and third-party vendors against any claims, damages, or liabilities, including intellectual property violations, arising from the use or production of the Customer Design.
• Grant us an irrevocable license to use the Customer Design for any purpose, including sharing, transferring, or selling it to third parties.

Any violation of these terms may result in legal action and liability for damages, fees, or other costs incurred.

All content included on the Site is and shall continue to be the property of The Middleby Corporation or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this Site. 

This website is intended for adults only.  To use the Platform, you must:

You agree not to copy materials on the site, reverse engineer or break into the site, or use materials, products or services in violation of any law. It’s acceptable to link to the Platform, provided any linking is done in a fair and legal manner, and does not damage the reputation of the Platform or any of its subsidiaries. If links exist to other third-party sites or resources, these are for convenience only. Middleby Shop has not reviewed all of these and has no control over the contents of those sites or resources and accept zero responsibility for them or for any loss or damage that may arise if you use them. From time to time, the Platform may run promotions, discounts or offers. These may be sponsored by the site operator or by the individual seller, and may not be applicable to all products or services. Any attempt to misuse or manipulate a promotion, including creating multiple accounts or submitting fraudulent claims, will result in disqualification and may lead to account suspension. 
Returns and Refunds:

• If a product purchased with a promotion is returned, refunds will reflect the discounted price paid, not the original price.
• Promotional discounts will not be reissued or transferred to replacement orders.

Limitations:

• Promotions cannot be combined with other offers, discounts, or promotional codes unless explicitly allowed.

Your sole remedy for dissatisfaction with the site and/or content is to cease all of your site use. 
You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you. 

You agree that the laws of the state of Illinois, United States, without regard to conflicts of laws provisions will govern these Terms and Condition of Use and any dispute that may arise between you and The Middleby Corporation or its affiliates. 

If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect. 

The failure of The Middleby Corporation to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by The Middleby Corporation must be in writing and signed by an authorized representative of The Middleby Corporation. 

The Middleby Corporation may terminate this Agreement at any time, with or without notice, for any reason.

Nothing contained in this Agreement or your use of the Services shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.

The Middleby Corporation will not be liable or responsible for any failure or delay in performance arising out of or caused by, directly or indirectly, circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, flood, fire, earthquake, explosion, governmental actions, war, terrorism, cyberattacks, labor disputes, supply chain interruptions, or failures of utilities, telecommunications, or transportation systems.

You agree to comply with all applicable U.S. and international export control laws and regulations, including the Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), and economic sanctions maintained by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC). You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to U.S. trade embargoes or sanctions, and you are not a prohibited end user under U.S. export laws.

This Terms of Use constitutes the entire agreement between you and The Middleby Corporation and governs the terms and conditions of your use of the Site, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Middleby Shop with respect to this Site. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the website. The Middleby Corporation may revise this Terms of Use at any time by updating this Agreement and posting it on the Site. Accordingly, you should visit the Site and review the Terms of Use periodically to determine if any changes have been made. Your continued use of the Site after any changes have been made to the Terms of Use signifies and confirms your acceptance of any such changes or amendments to the Terms of Use.
